We may also introduce new features, functionalities, or limitations periodically.

3. User Accounts

By creating an account, you agree that:

  • You are solely responsible for activities occurring under your account

from any portion of the Services.

All rights not expressly granted are reserved by Nexoar Labs.

6. AI and Automated Content Disclaimer

Our Services may generate AI-powered outputs, recommendations, automations, or analytical content.

You acknowledge and agree that:

  • AI-generated outputs may contain inaccuracies, errors, omissions, or biased results
  • Outputs are provided for informational and operational purposes only
  • You are solely responsible for reviewing, validating, and approving outputs before reliance or implementation
  • Nexoar Labs does not guarantee accuracy, reliability, legality, or fitness for a particular purpose

Use of AI-generated content is entirely at your own risk.

7. Feedback and Suggestions

If you provide Nexoar Labs with any suggestions, ideas, enhancement requests, recommendations, corrections, improvements, or other feedback relating to the Site or Services (“Feedback”), you hereby grant Nexoar Labs a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use, reproduce, modify, distribute, display, incorporate, and otherwise exploit such Feedback for any purpose without restriction, attribution, or compensation to you.

Nexoar Labs may use or incorporate such Feedback into the Site and/or any current or future products, services, technologies, or offerings.

8. Payments and Billing

If you purchase paid Services:

  • You agree to pay all applicable fees and taxes
  • Subscription services may renew automatically unless canceled
  • Payment processing may be handled by third-party providers such as Stripe or PayPal

  • Unless otherwise stated, payments are non-refundable

Failure to pay may result in suspension or termination of access.

  • Accuracy

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXOAR LABS DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • AVAILABILITY
  • SECURITY
  • ACCURACY
  • RELIABILITY

We do not guarantee uninterrupted or error-free operation.

13. Limitation of Liability

To the fullest extent permitted by law, Nexoar Labs and its affiliates, officers, employees, contractors, and partners shall not be liable for:

  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Loss of profits
  • Business interruption
  • Data loss
  • Security breaches
  • AI-generated inaccuracies
  • Unauthorized account access

In no event shall our total liability exceed the amount paid by you to Nexoar Labs during the twelve (12) months preceding the claim.

Some jurisdictions may not allow certain liability limitations, so portions of this section may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Nexoar Labs and its affiliates, employees, officers, contractors, licensors, and partners from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your misuse of AI-generated content
  • Your violation of third-party rights or laws

15. Suspension and Termination

We reserve the right to suspend, restrict, or terminate your access to the Services at any time, with or without notice, if:

  • You violate these Terms
  • We suspect unauthorized or unlawful activity
  • Required by law or regulatory authorities
  • Necessary to protect the integrity or security of the Services

Termination does not limit any other legal remedies available to Nexoar Labs.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein.

Any disputes arising under these Terms shall be resolved exclusively in the courts located in Quebec, Canada.

17. Changes to These Terms

Nexoar Labs reserves the right to update or modify these Terms at any time.

Updated versions will be posted on this page with a revised effective date. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

18. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the complete agreement between you and Nexoar Labs regarding the Services and supersede any prior agreements or understandings.
